These Terms & Conditions (“Terms”) govern the use of the Estihwaz website and services. By accessing the website or submitting any Buy a Business or Sell a Business request, you confirm that you have read, understood, and legally agreed to these Terms.
1. Legal Status
Estihwaz is a licensed commercial brokerage operating under the laws of the United Arab Emirates, authorized to facilitate business sale and acquisition transactions and to prepare commercial and legal documentation.
2. Scope of Services
Estihwaz provides:
● Business brokerage and deal facilitation
● Introduction between buyers and sellers
● Coordination and negotiation support
● Preparation of commercial and transaction documents
Estihwaz:
● Does not own, manage, or operate any listed business
● Does not guarantee completion of any transaction
● Does not guarantee valuation accuracy, profitability, or future performance
All final decisions remain solely with the Buyer and Seller.
3. Intermediary Disclaimer
Estihwaz acts only as an intermediary and document preparer and is not a party to any transaction between buyers and sellers.
All agreements are concluded directly between the parties.
4. Document Preparation Disclaimer
All documents prepared by Estihwaz are based solely on information provided by the parties.
Estihwaz does not independently verify the accuracy or completeness of such information unless explicitly agreed in writing.
Execution of any document confirms that the parties:
● Have reviewed the document
● Accept its contents voluntarily
● Had the opportunity to seek independent professional advice
5. Buyer Responsibilities
Buyers acknowledge and agree that they:
● Conduct independent due diligence
● Rely on their own investigations and advisors
● Accept all commercial, legal, and financial risks
Buyers waive any claim against Estihwaz arising from business performance, financial outcomes, or failed transactions.
6. Seller Responsibilities
Sellers confirm that:
● All information and documents provided are true, accurate, and lawful
● All material facts have been disclosed
Sellers agree to fully indemnify and hold harmless Estihwaz from any claims arising from misrepresentation, omission, or inaccurate information.
7. No Legal, Financial, or Tax Advice
Estihwaz does not provide legal, financial, investment, or tax advice.
Any opinions, valuations, or projections are indicative only and non-binding.
8. Fees & Commissions
Any brokerage fees, commissions, or success fees are governed by separate written agreements.
Submitting a form does not create a binding brokerage relationship or payment obligation.
9. Limitation of Liability
To the maximum extent permitted by UAE law:
● Estihwaz is not liable for indirect or consequential damages
● Estihwaz is not liable for disputes between buyers and sellers
● Total liability, if any, is limited to fees actually paid to Estihwaz
10. Termination
Estihwaz reserves the right to suspend or terminate access to its website or services at any time without prior notice.
11. Governing Law & Jurisdiction
These Terms are governed by the laws of the United Arab Emirates, as applied in the Emirate of Dubai.
The courts of Dubai shall have exclusive jurisdiction.
12. Binding Digital Acceptance
By clicking Submit, Buy, Sell, or Agree, you confirm that:
● You have legal capacity
● You accept these Terms as legally binding
● Digital acceptance is enforceable
